1. Mr. WangMing xing, our Chairman, chief executive officer and an executive Director,

Mr. WangMing feng, an executive Director and Mr. Wang ML, an executive Director, are brothers.

2. Ms. Huo is the spouse of Mr. Wang ML.

4. The eight individuals are past or present employees of Sanxing Group and they in total are interested in   35.2% of the registered share capital of Shandong Sanxing. To the best knowledge of our Directors, they are not parties acting together.

5. To the best knowledge of our Directors, CDCP (China Development Capital Partnership Master Fund LP) , GMIM (General Motors Investment Management Corporation) and NGPL (New Garden Pte. Ltd) were Independent Third Parties and not parties acting in concert with the Controlling Shareholders as at the Latest Practicable Date.
